These Terms of Use (“Terms”) govern your access to and use of the websites, portals, and services operated by Arcvale Capital(“Arcvale,” “we,” “our,” or “us”). By accessing the Services you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. Certain portals and opportunities are restricted to accredited investors as defined under U.S. Securities and Exchange Commission Rule 501. Access to any portal is at Arcvale’s discretion.
2. No offer of securities; no advice
The Services are informational. Nothing on the public website or in any Arcvale communication is an offer to sell, or a solicitation of an offer to buy, any security. Any offer is made only through definitive transaction documents to qualified investors. Arcvale is not a registered investment adviser, broker-dealer, or tax or legal professional. Nothing on the Services constitutes investment, legal, accounting, or tax advice.
3. Accounts
You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts at any time.
4. Submissions
Any deal, business, property, or other information you submit must be accurate and you must have the right to submit it. By submitting information you grant Arcvale a non-exclusive, worldwide, royalty-free license to use it to evaluate and operate the Services.
5. Acceptable use
- Do not misuse, interfere with, or attempt to disrupt the Services.
- Do not access non-public areas, accounts, or systems without authorization.
- Do not submit false, misleading, or unlawful information.
- Do not scrape, reverse engineer, or commercially exploit the Services.
6. Marketplace role
Where Arcvale facilitates connections between investors, sponsors, operators, sellers, and partners, Arcvale acts as a platform. We are not a party to the underlying transactions unless expressly stated in writing, and we are not responsible for the performance, default, or conduct of any other user.
7. Intellectual property
The Services, including content, branding, and software, are owned by or licensed to Arcvale and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works.
8. Third-party services
The Services may integrate with or link to third-party services. Arcvale is not responsible for third-party content, terms, or privacy practices.
9. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Arcvale does not warrant that the Services will be uninterrupted, secure, or error-free, or that any opportunity will achieve any particular result.
10. Limitation of liability
To the maximum extent permitted by law, Arcvale and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Arcvale’s aggregate liability arising out of or relating to the Services will not exceed one hundred dollars (USD $100).
11. Indemnification
You agree to indemnify and hold Arcvale and its affiliates harmless from any claims, damages, liabilities, costs, and expenses arising from your use of the Services, your submissions, or your violation of these Terms.
12. Governing law & disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
13. Changes
We may update these Terms at any time. Changes are effective when posted. Your continued use of the Services constitutes acceptance.
