This Investment Risk Disclosure (the “Disclosure”) is provided by Arcvale Capital (“Arcvale”). It is intended to highlight — not exhaustively describe — material risks associated with private investment opportunities presented on Arcvale’s platform. You should read every offering document carefully and consult your own legal, tax, and financial advisors before investing.
1. No advice; no offer
Arcvale is not a registered investment adviser, a broker-dealer, a placement agent, or a fiduciary. Nothing on the Arcvale website, in the portals, or in our communications is an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, or strategy.
2. Accredited investors only
Opportunities presented through Arcvale are offered only to verified accredited investors as defined under SEC Rule 501 of Regulation D. By participating, you represent that you meet that standard and acknowledge that Arcvale relies on your self-certification.
3. Speculative and illiquid
Private investments — including real estate, business acquisitions, earnest money positions, debt, and equity in operating companies — are speculative and illiquid. There is generally no public market for these interests, and you may be required to hold the investment indefinitely. You should be prepared to lose your entire investment.
4. Risk of total loss
Each opportunity carries the risk of partial or total loss of invested capital. Causes of loss may include but are not limited to: business underperformance, market disruption, tenant default, construction or operational failures, borrower default, fraud, litigation, interest rate movements, regulatory changes, and macroeconomic conditions.

6. Earnest money & transactional capital
Short-term capital deployments — including earnest money, deposit funding, and transactional bridge capital — are particularly sensitive to deal close timing. Capital may be delayed, renegotiated, or lost if the underlying transaction does not close, if a borrower defaults, or if a counterparty fails to perform. Arcvale is a marketplace facilitator and is not liable for borrower default or counterparty performance.
7. Conflicts of interest
Arcvale, its affiliates, and its principals may invest in, sponsor, manage, or have other interests in the opportunities presented. Specific conflicts are described in each opportunity’s offering documents.
8. Tax considerations
Private investments have complex tax consequences that vary by investor. You should consult your own tax advisor before committing capital.
